Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Venaz websites, mobile applications, and related services (collectively, the "Services"), operated by YapsGG MCHJ ("Venaz", "we", "us", or "our"). By creating an account, downloading our applications, or otherwise using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

Venaz is a data marketplace that allows individuals and organizations to submit, license, and monetize images, video, audio, text, and other content ("Content"). Buyers may license Content from contributors to use in products, research, and the training of machine learning and artificial intelligence models. The specific features of the Services may change from time to time, and we may add, modify, or discontinue any part of the Services at our discretion.

To access certain features you must create an account and provide accurate, complete, and current information. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. We reserve the right to suspend or terminate accounts that violate these Terms.

You retain ownership of the Content you submit to Venaz. By submitting Content, you grant Venaz a non-exclusive, worldwide, royalty-free license to host, store, process, display, and distribute that Content solely to operate and provide the Services. If you choose to list Content for licensing, you grant Venaz the right to market, display, and sublicense the Content to buyers in accordance with your chosen license terms.

You represent and warrant that you own or have the necessary rights, licenses, and permissions to the Content you submit, and that submitting it does not violate the rights of any third party, including intellectual property, privacy, or publicity rights.

Content made available through the Services is licensed to buyers under the license terms selected by the contributor or specified on the listing. Buyers agree to use licensed Content only in accordance with the applicable license and these Terms. Some licenses may be limited to specific uses, such as training artificial intelligence models, and may be subject to additional restrictions.

Contributors are responsible for ensuring that their Content is appropriate for the license they select, and that the metadata, titles, and descriptions they provide are accurate.

Contributors may earn compensation when their Content is licensed. Payout schedules, minimum thresholds, and commission structures will be communicated through the Services. You are responsible for any applicable taxes and for providing accurate tax and payment information. Venaz reserves the right to withhold or reverse payments in cases of fraud, chargebacks, or breach of these Terms.

You agree not to use the Services to: (a) upload unlawful, harmful, defamatory, or infringing Content; (b) impersonate another person or entity; (c) violate any applicable laws or regulations; (d) interfere with the operation or security of the Services; (e) scrape, harvest, or collect data without authorization; or (f) attempt to gain unauthorized access to any part of the Services. We may remove Content and suspend accounts that violate these rules.

The Services, including their design, software, branding, and original content, are owned by Venaz or its licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works of the Services or their branding without our prior written consent.

The Services may contain links to or integrate with third-party websites, apps, or services. We do not control and are not responsible for such third-party services. Your use of any third-party service is subject to that service's own terms and privacy policy.

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that Content will be licensed at any particular price or volume.

To the maximum extent permitted by law, Venaz, its affiliates, and their respective officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of the Services. Our aggregate liability shall not exceed the greater of the amounts you paid to Venaz in the twelve (12) months preceding the claim or one hundred US dollars ($100).

You agree to indemnify and hold harmless Venaz and its affiliates from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Services, your submission of Content, or your violation of these Terms.

You may terminate your account at any time. We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including breach of these Terms. Upon termination, licenses already granted to buyers for Content previously listed will continue in accordance with their applicable license terms, and your ability to use the Services will cease.

We may update these Terms from time to time. When we make material changes, we will provide notice through the Services or by other means. By continuing to use the Services after changes take effect, you agree to be bound by the revised Terms.

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Venaz is established, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms shall be resolved in the competent courts of that jurisdiction.
